This Terms and Conditions of Use (“Terms of Use”) governs your access and use of our Services (as defined below) and the websites located at www.envitahealth.com and any other U.S. websites on which we post these Terms of Use (collectively, the “Site”).

Please review these Terms of Use carefully. By accessing or using our Site or using our Services, you accept and agree to be bound by these Terms of Use and our Privacy Policy. If you do not agree to be bound by these Terms of Use, you are not authorized to access or otherwise use the Site or Services and you must promptly exit this Site.

1. Services

Envita Health, LLC (“Envita Health,” “we,” “us,” and “our”) provides concierge health benefit solutions to self-funded employer group health plans (“GHPs”) and health share organizations (“Health Shares”). Envita Health also contracts with and provides services to other entities who provide medical services, such as healthcare professionals and medical groups including Envita Medical Centers, LLC and Envita Biologicals, LLC (collectively, “Envita Medical”). Envita Health is the management services organization (“MSO”) for Envita Medical and provides administrative and non-medical services to Envita Medical. Concierge services provided by Envita Health help navigate members of GHPs and Health Shares to medical services, including medical service provided by Envita Medical.

Despite the similar names, Envita Health is a separate company from Envita Medical and this Terms of Use covers Envita’s business, not Envita Medical’s business. Medical services and consultations, including those provided through are provided by Envita Medical providers (individually the “Provider” and collectively the “Providers”). The professional medical services provided by Envita Medical, including Envita Center of Excellence^TM, Envita Pharmacy^TM, and Envita Insights^TM , and the non-medical concierge solutions provided by Envita Health, including Envita Hero^TM, are collectively referred to in this Terms of Use as the “Services”.

2. Privacy Policies

You agree that information provided by you in connection with the Services and Site shall be governed by the Envita Health Privacy Policy which is hereby incorporated and made a part of this Agreement.

3. No Medical Care or Advice

Envita Health does not provide medical advice or care. Envita Medical, including Envita Center of Excellence, Envita Pharmacy, and Envita Insights, is comprised of independent physician-owned medical service providers and are responsible for the quality and appropriateness of medical services provided to you. Envita Health may navigate GHP and Health Share plan members to Envita Medical providers in the course of providing Services. Envita Health and Envita Medical do not provide any legal advice or representations in any way regarding any legal issues associated with advice, information, goods, or services offered by any Provider, including, but not limited to, any compliance obligations or steps necessary to comply with any state or federal laws and regulations.

The content of the Site and the Services, including without limitation, text, copy, audio, video, photographs, illustrations, graphics, and other visuals, is for informational purposes only and does not constitute professional medical advice, diagnosis, treatment, or recommendations of any kind by Envita Health. You should always seek the advice of your qualified health care professionals with any questions or concerns you may have regarding your individual needs and any medical conditions. All information provided by Envita Health, or in connection with any communications supported by Envita Health, is intended to be for general information purposes only, and is in no way intended to create a provider-patient relationship as defined by state or federal law. While Envita Health may facilitate your selection of, and communications with, Providers, Envita Health does not provide medical services, and the doctor-patient relationship is between you and the Envita Medical Provider you select.

4. Not an Insurance Product

Envita Health together with Envita Medical is not insurance or an insurance policy, nor is it offered through an insurance company. Envita Health is not a discount healthcare program nor is it a discount health card program. Any amounts you pay to Envita Health or Envita Medical are not insurance premiums. If you desire any type of health or other insurance, you will need to purchase such insurance separately.

5. Availability of Services

Envita Health and Envita Medical operate subject to state and federal regulations, and the Services may not be available in your state. You represent that you are not a person barred from enrolling for or receiving the Services under the laws of the United States or other applicable jurisdictions in which you may be located. Access to and use of the Site or the Services is limited exclusively to users located in States within the United States where the Services are available. Services are not available to users located outside the United States. Accessing the Site or Services from jurisdictions where content is illegal, or where we do not offer Services, is prohibited.

6. Copyrights, Trademarks and Patents

All information contained in the Site, including all website design, text, graphics, the selection and arrangement thereof, and software, are owned or controlled by Envita Health. Permission to use, copy or distribute any such information without Envita Health’s written consent is prohibited. Under no circumstances may the name of Envita Health be used in any advertising or publicity without the express prior written permission of Envita Health.

7. Ownership of Site and Related Materials

All pages within this Site and any material made available for download are the property of Envita Health, or its licensors or suppliers, as applicable. The Site is protected by United States and international copyright and trademark laws. All rights not expressly granted to you in these Terms of Use are reserved and retained by Envita Health, or its licensors, suppliers, publishers, rights holders, or other content providers. Neither the Site and Services, nor any part of the Site and Services, may be reproduced, duplicated, copied, sold, resold, visited, or otherwise exploited for any commercial purpose without express written consent of Envita Health.

8. Electronic Communications

When you use the Site or Services, or send e-mails, messages, and other communications from your desktop or mobile device to us, you are communicating with us electronically. You consent to receive communications from us electronically. You agree that (a) all agreements and consents can be signed electronically and (b) all notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such notices and other communications be in writing.

9. Limitation of Liability

The information on this website is provided “as is” without any warranties, express or implied. Although Envita Health will use reasonable efforts to include up-to-date and accurate information on this website, Envita Health makes no representations, warranties or assurances that the information on this website is or will be timely, error-free or complete.

Neither Envita Health or any other party involved in creating this website is liable for any direct, indirect, incidental, consequential, special or exemplary damages (including damages for loss of business, loss of use, loss of profits, litigation or the like) arising out of your access to, inability to access or use of this website, or from your reliance on any information provided on this website. The foregoing exclusion of losses and damages shall apply whether a claim is based on breach of contract, breach of warranty, tort (including negligence), product liability or otherwise, and even if Envita Health has been advised of the possibility of such damages.

10. Disclaimer; Accuracy of Information

Although Envita Health attempts to ensure the integrity and accuracy of the Site and Service descriptions, it makes no representations, warranties, or guarantees whatsoever as to the correctness or accuracy of the Site, Service descriptions and other content on the Site. It is possible that the Site could include typographical errors, inaccuracies or other errors, and that unauthorized additions, deletions, and alterations could be made to the Site by third parties. In the event that an inaccuracy arises, please inform Envita Health so that it can be corrected. Information contained on the Site may be changed or updated without notice. Additionally, Envita Health shall have no responsibility or liability for information or content posted to the Site from any non- Envita Health affiliated third party.

You agree to defend, indemnify, and hold harmless Envita Health, Envita Medical, and any affiliates from and against any and all rights, demands, losses, liabilities, damages, claims, causes of action, actions, and suits (no matter whether at law or equity), fees, costs, and attorney’s fees of any kind whatsoever arising directly or indirectly out of or in connection with: (i) your use or misuse of the Site, Services or any information posted on the Site; (ii) your breach of the Terms of Use or Privacy Policy; (iii) the content or subject matter of any information you provide to Envita Health, Envita Medical, or any Provider or customer service agent; or (v) any negligent or wrongful act or omission by you in your use or misuse of the Site, Services, or any information on the Site, including without limitation, infringement of third party intellectual property rights, privacy rights, or negligent or wrongful conduct.
